These Terms and Conditions of Use ("Terms of Use") apply to the PropSavvy web site located at propsavvy.ca, and all associated sites linked to propsavvy.ca by PropSavvy, its subsidiaries, and affiliates (collectively, the "Site"). The Site is the property of PropSavvy ("PropSavvy") and its licencors.

PropSavvy reserves the right, at its sole discretion, to change, modify, add, or remove portions of these Terms of Use, at any time. It is your responsibility to check these Terms of Use periodically for changes. Your continued use of the Site following the posting of changes will mean that you accept and agree to the changes. As long as you comply with these Terms of Use, PropSavvy grants you a personal, non-exclusive, non-transferable, limited privilege to enter and use the Site.

Content

All text, graphics, user interfaces, visual interfaces, photographs, trademarks, logos, sounds, music, artwork, and computer code (collectively, "Content") contained on the Site is owned, controlled, or licensed by or to PropSavvy, and is protected by copyright, patent, trademark laws, and various other intellectual property rights.

Except as expressly provided in these Terms of Use, no part of the Site or any Content may be copied, reproduced, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, or distributed in any way to any other computer, server, website, or other medium for publication or distribution or for any commercial enterprise, without PropSavvy's express prior written consent.

General Terms and Conditions

Welcome to PropSavvy! These Terms of Use ("Terms") govern your access to and use of the PropSavvy platform, including any associated content, functionality, and services offered on or through the platform (collectively referred to as the "Service"). By accessing or using the Service, you agree to be bound by these Terms, all applicable laws, and regulations, and agree that you are responsible for compliance with any applicable local laws. If you do not agree with any part of these Terms, you must not use the Service.

Acceptance of Terms

By creating an account or using the Service, you accept and agree to these Terms. We may update these Terms from time to time, and your continued use of the Service constitutes acceptance of such changes. It is your responsibility to review these Terms regularly.

  • Eligibility

    You must be at least 18 years old to use PropSavvy. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding contract.

    PropSavvy reserves the right to modify or discontinue the Service, or any part thereof, temporarily or permanently, with or without notice. You agree that PropSavvy will not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

  • PropSavvy refers to the property management platform offered by our company, including the website, application, and any services associated with it.
  • Service means the PropSavvy platform, including all functionalities, features, and content made available through it.
  • User, you, or your refers to any individual or entity accessing or using the Service.
  • Account refers to the user account created when you register on the PropSavvy platform to use the Service.
  • Subscription refers to the paid plan or tier of services a user subscribes to, which grants access to certain features within the PropSavvy platform.
  • Content means all data, information, text, graphics, images, software, or other materials uploaded, downloaded, or appearing on the Service.

  • use the Service to distribute unsolicited or unauthorised advertising, promotional materials, spam, or other forms of solicitation.

Intellectual Property

    All intellectual property rights, including copyrights, trademarks, patents, and trade secrets related to the Service are owned by PropSavvy or its licencors. Nothing in these Terms grants you any rights in or to the Service or its content other than as expressly set forth in these Terms.

  • Limited License

    PropSavvy grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes. You may not copy, modify, distribute, transmit, display, perform, or create derivative works based on the Service or its content without prior written consent from PropSavvy.

  • Feedback

    Any feedback, suggestions, or ideas you provide regarding the Service will be considered non-confidential and non-proprietary. PropSavvy will be free to use, disclose, and exploit such feedback without any obligation or compensation to you.

Use of the PropSavvy Platform

    You agree to use the PropSavvy platform in accordance with these Terms and applicable laws. You may use the platform only for lawful purposes and in a manner that does not infringe on the rights of others or restrict or inhibit anyone else's use and enjoyment of the platform.

  • Prohibited Conduct

    • use the platform for any illegal or unauthorised purpose;
    • interfere with or disrupt the platform or servers or networks connected to the platform;
    • attempt to gain unauthorised access to the platform or other users' accounts;
    • use any automated system or software to extract data from the platform without permission;
    • engage in any conduct that could damage, disable, overburden, or impair the platform.
  • User Content

    You are solely responsible for any content that you upload, submit, or otherwise make available on the platform. You grant PropSavvy a worldwide, royalty-free, non-exclusive license to use, reproduce, modify, and display such content as necessary to provide and improve the platform.

  • Monitoring and Enforcement

    PropSavvy reserves the right to monitor your use of the platform and take appropriate action, including removing content or suspending or terminating accounts, if we believe that you have violated these Terms or applicable laws.

Payments and Fees

  • Fees

    Certain features or services on the PropSavvy platform may require payment of fees. All fees are as specified on the PropSavvy website or application and are subject to change. By using these features or services, you agree to pay the applicable fees.

  • Payment Methods

    Payments for services are accepted through various methods as specified by PropSavvy. You agree to provide accurate and complete payment information and to update it as necessary to ensure timely payment.

  • Payment Methods

    PropSavvy will bill you on a recurring basis or as otherwise specified for the services you use. Charges will be applied to the payment method you provided, and you are responsible for ensuring that your payment information is up to date and accurate.

  • Refunds and Cancellations

  • Disputes

    Any disputes regarding charges must be submitted to PropSavvy within 30 days of the charge date. Failure to do so may result in the waiver of your right to dispute the charge.

Subscription Plans and Renewals

  • Subscription Plans

    PropSavvy offers various subscription plans for its services, each with different features and pricing. The details of these plans are available on the PropSavvy website or application. By subscribing to a plan, you agree to pay the applicable fees and adhere to the terms of the plan.

  • Renewals

    Subscriptions are typically billed on a recurring basis, such as monthly or annually, as specified in the plan you select. Unless you cancel your subscription before the end of the current billing period, it will automatically renew for the same term, and you will be charged accordingly.

  • Cancellation

    You may cancel your subscription at any time through your account settings on the PropSavvy platform or by contacting PropSavvy customer support. Cancellation will take effect at the end of the current billing period, and you will not be entitled to a refund for any unused portion of the subscription.

  • Changes to Plans

    PropSavvy reserves the right to change its subscription plans, including pricing and features, at any time. Any changes will be communicated to you through the platform or by email. Your continued use of the Service after such changes constitutes acceptance of the new terms.

  • Trial Periods

    If PropSavvy offers a trial period for any subscription plan, the terms of the trial will be specified at the time of sign-up. After the trial period ends, you will be automatically billed for the subscription unless you cancel before the trial period expires.

Termination and Suspension

  • Termination by PropSavvy

    PropSavvy reserves the right to terminate or suspend your access to the Service at any time, with or without cause, and with or without notice. Termination may occur if you violate these Terms or if PropSavvy decides to discontinue the Service. Upon termination, you will no longer have access to your account and any associated data may be deleted.

  • Termination by You

    You may terminate your use of the Service at any time by canceling your subscription or account through the account settings or by contacting PropSavvy customer support. Upon termination, you may lose access to all data and content associated with your account.

  • Suspension of Service

    PropSavvy may temporarily suspend the Service or your access to the Service for maintenance, upgrades, or other reasons. During such suspension, PropSavvy will make reasonable efforts to minimize disruption and inform you of the expected duration of the suspension.

  • Effect of Termination

    Upon termination or suspension of your account, you will not be entitled to any refunds for any unused portion of your subscription. Any obligations that by their nature should survive termination, including but not limited to payment obligations and limitations of liability, will continue to apply.

  • Data Deletion

    Upon termination of your account or subscription, PropSavvy may delete your account and all associated data from its systems. It is your responsibility to back up any data before termination.

Confidentiality

  • Confidential Information

    You agree to treat all non-public information obtained through your use of the Service as confidential. This includes, but is not limited to, business strategies, user data, and any other proprietary information shared or accessible through the Service.

  • Obligations

    You agree not to disclose, share, or use any confidential information for any purpose other than as expressly authorized by PropSavvy or as required by law. This obligation will continue even after termination of your account or subscription.

  • Exceptions

    The confidentiality obligations do not apply to information that:

    • is or becomes publicly available without a breach of these Terms;
    • was already in your possession without restriction before receiving it from PropSavvy;
    • is disclosed with the prior written consent of PropSavvy;
    • is required to be disclosed by law or regulation.
  • Security Measures

    PropSavvy will implement reasonable security measures to protect your confidential information. However, you are also responsible for maintaining the confidentiality of your account credentials and any information you provide to PropSavvy.

  • Reporting Breaches

    If you become aware of any unauthorized access or use of confidential information, you must report it to PropSavvy immediately. PropSavvy will investigate the breach and take appropriate actions to mitigate any potential harm.

Limitation of Liability

  • Limitation

    To the maximum extent permitted by law, PropSavvy and its affiliates, officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of the Service. This includes, but is not limited to, damages for loss of profits, data, or other intangible losses.

  • Maximum Liability

    PropSavvy's total liability to you for any claim arising from or related to your use of the Service will be limited to the amount you have paid to PropSavvy for the Service in the six (6) months preceding the claim, or $100, whichever is greater.

  • No Warranty for Damages

    PropSavvy does not warrant that the Service will be uninterrupted, error-free, or free of harmful components. You agree that PropSavvy will not be liable for any damages arising from the use or inability to use the Service, including but not limited to any defects, inaccuracies, or interruptions.

  • User Responsibility

    You are solely responsible for any damage to your devices or data arising from your use of the Service. PropSavvy does not guarantee the security or performance of your devices or data.

  • Exceptions

    Some jurisdictions do not allow the exclusion or limitation of certain types of damages, so the above limitations may not apply to you. In such cases, PropSavvy's liability will be limited to the fullest extent permitted by law.

Disclaimer of Warranties

  • No Warranty

    The Service is provided "as is" and "as available," without any warranties of any kind, whether express, implied, statutory, or otherwise. PropSavvy specifically disclaims all implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

  • Service Availability

    PropSavvy does not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We make no warranties regarding the accuracy, reliability, or completeness of the content available through the Service.

  • No Endorsement

    Any third-party content or services linked to or from the Service are not endorsed by PropSavvy, and we do not assume any responsibility for the content, products, or services provided by such third parties.

  • Risk Assumption

    You acknowledge and agree that your use of the Service is at your own risk. PropSavvy does not warrant or guarantee the results of using the Service or the reliability of any content or information obtained through the Service.

  • Limitation of Remedies

    If you are dissatisfied with the Service or any content, your sole remedy is to discontinue use of the Service.

Governing Law and Jurisdiction

    These Terms and any disputes or claims arising out of or related to these Terms or the use of the Service shall be governed by and construed in accordance with the laws of the jurisdiction in which PropSavvy is based, without regard to its conflict of law principles.

  • Jurisdiction

    Any legal action or proceeding arising out of or related to these Terms or the Service must be brought exclusively in the courts of the jurisdiction in which PropSavvy is based. You consent to the personal jurisdiction of these courts and waive any objections to venue or jurisdiction.

  • Dispute Resolution

    If you have a dispute with PropSavvy, you agree to attempt to resolve the dispute through informal negotiations before seeking resolution through the courts. You agree that any claims or disputes will be resolved on an individual basis and not as part of a class or representative action.

  • Informal Resolution

    Before initiating any formal legal proceedings, you agree to first attempt to resolve any disputes or claims with PropSavvy through informal negotiations. This involves contacting us to discuss the issue and seek an amicable resolution.

  • Formal Proceedings

    If informal resolution is unsuccessful, any disputes or claims arising out of or related to these Terms or the Service must be resolved through formal legal proceedings. You agree to submit to the exclusive jurisdiction of the courts specified in the Governing Law and Jurisdiction section.

  • Class Action Waiver

    You agree that any legal action or claim arising out of or related to these Terms or the Service will be conducted on an individual basis and not as part of a class action, collective action, or representative action.

  • Arbitration

    If required by applicable law or agreed upon in writing by both parties, disputes may be resolved through binding arbitration in accordance with the rules of the arbitration body specified in the agreement. Arbitration will take place in the jurisdiction specified in the Governing Law and Jurisdiction section.

Indemnification

    You agree to indemnify, defend, and hold harmless PropSavvy, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your use of the Service, your violation of these Terms, or your infringement of any intellectual property or other rights of any person or entity.

  • PropSavvy's Rights

    PropSavvy reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate fully with PropSavvy in asserting any available defenses.

    If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions will continue in full force and effect.

  • Severability of Provisions

    If any provision of these Terms is determined to be illegal, invalid, or unenforceable by a court of competent jurisdiction, such determination shall not affect the validity or enforceability of the remaining provisions. The invalid or unenforceable provision shall be deemed modified to the extent necessary to make it enforceable while reflecting the original intent of the parties.

  • Modification

    In the event that any provision is found to be invalid or unenforceable, the parties agree to negotiate in good faith to replace the invalid or unenforceable provision with a valid provision that closely matches the intent of the original provision.
